Construct Labs Terms of Service

1. Agreement

These Terms of Service form a contract between you and Construct Labs. They apply when you visit our website, install or use AgencyFlow, join a pilot, or use another Construct Labs product that links to these terms.

If you use a service for a company or another organization, you confirm that you have authority to accept these terms for that organization. In that case, “you” includes the organization.

Do not use the service if you do not agree to these terms.

2. Accounts and eligibility

You must be at least 18 years old and able to enter a binding contract. You are responsible for activity under your account and for keeping login credentials secure.

AgencyFlow requires a supported third-party CRM account. Your use of that platform remains subject to its own terms. You must have permission to connect each agency or client account that you select during installation.

3. Service license

Subject to these terms and any applicable order or marketplace listing, Construct Labs grants you a limited, nonexclusive, nontransferable, revocable right to use the service for your internal business operations during the applicable subscription or pilot period.

This license does not permit resale, sublicensing, copying, modification, reverse engineering, source extraction, competitive benchmarking for publication, or use to build a competing product, except where applicable law does not allow that restriction.

4. Acceptable use

You must not use the service to:

break any law, regulation, contract, or third-party right;
access an account or data without valid permission;
send malware, probe for vulnerabilities, bypass access controls, or disrupt service operation;
submit credentials, regulated data, or customer content that the service does not request;
remove notices, misrepresent the service, or imply that Construct Labs endorses your business;
place an unreasonable load on the service or use automated access outside documented interfaces.

We may limit or suspend access when necessary to stop abuse, protect customers, address a security issue, or comply with law.

5. Third-party services

Our products connect to services operated by other companies. Construct Labs does not control those services and is not responsible for their availability, terms, pricing, data practices, or changes.

A third-party platform may change or remove an interface that our product uses. We will make reasonable efforts to adapt, but we cannot promise continued compatibility with every third-party change.

6. Fees, billing, and cancellation

Pricing, billing frequency, trial terms, taxes, renewal terms, and included usage will be shown in the marketplace listing, checkout, order form, or pilot agreement that applies to your purchase.

If a subscription renews automatically, you authorize the applicable billing provider to charge the payment method on file until cancellation. You can cancel through the purchase channel or by contacting support. Cancellation normally takes effect at the end of the current paid period unless the purchase terms state otherwise.

Refunds are governed by the terms shown at purchase and by the rules of the marketplace or billing provider that processed the payment. Nothing in these terms limits a refund or cancellation right that cannot be waived under applicable law.

7. Data and permissions

You retain your rights in data that you or your connected accounts provide. You grant Construct Labs permission to process that data only as needed to provide, secure, support, and improve the service, comply with law, and enforce these terms.

You confirm that you have the rights and permissions needed for data made available through a connected account. AgencyFlow’s current readiness feature reads configuration metadata and stores limited installation records and summary counts. Details are in our Privacy Policy.

We do not use connected CRM data for advertising or sell it to data brokers.

8. Pilots, changes, and availability

A service marked preview, pilot, beta, or in development may change and may contain defects. Unless a separate written agreement says otherwise, development services do not include a service-level commitment.

We may update features, security controls, usage limits, or integrations. We will give reasonable notice when a material change is expected to remove paid functionality. Maintenance, third-party outages, emergencies, and events outside our control may interrupt access.

9. Ownership and feedback

Construct Labs and its licensors own the service, software, design, documentation, trademarks, and related intellectual property. These terms do not transfer ownership to you.

If you send product suggestions or feedback, you give us permission to use it without restriction or payment. This does not give us ownership of your confidential information or connected account data.

10. Suspension and termination

You may stop using the service at any time. Uninstalling an application revokes its platform access. Subscription cancellation may be a separate step, depending on the purchase channel.

We may suspend or terminate access for a material breach, nonpayment, unlawful use, security risk, or required legal action. When practical, we will provide notice and a chance to fix the issue.

After termination, the license ends. Provisions concerning fees owed, ownership, disclaimers, liability, disputes, and other terms that should reasonably survive will remain in effect. Data handling after termination is described in the Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.”

Construct Labs disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the service will be uninterrupted, error-free, or compatible with every third-party change.

Readiness results are operational indicators based on available configuration metadata. They are not a guarantee of campaign performance, legal compliance, revenue, deliverability, or business results. You remain responsible for reviewing and approving each client launch.

Some jurisdictions do not allow certain warranty exclusions, so part of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Construct Labs will not be liable for lost profits, lost revenue, lost data, business interruption, goodwill, or indirect, incidental, special, consequential, exemplary, or punitive damages.

Construct Labs’ total liability arising from the service will not exceed the amount you paid for the service during the 12 months before the event giving rise to the claim. If you paid nothing, the total limit is US $100.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not apply where applicable law does not permit the limitation.

13. Disputes and governing terms

Before filing a claim, contact us and describe the issue. Both sides agree to make a good-faith effort to resolve it informally for at least 30 days.

If an order form or marketplace checkout names governing law or a dispute forum, those terms control. Otherwise, the laws and courts applicable to Construct Labs’ principal place of business govern, without regard to conflict-of-law rules. Mandatory consumer protections remain in effect.

14. Changes to these terms

We may update these terms as our services or legal obligations change. The current version will appear on this page with a new effective date. If a material change affects an active paid service, we will provide reasonable notice through the service, marketplace, or account contact.

Continued use after the updated terms take effect means you accept the revised terms. If you do not agree, stop using the service and cancel before the change takes effect.
